- Communications law, including FCC periodic reporting and broadcast license procurement and maintenance.
- Broad experience in corporate finance; lead counsel on mergers and acquisitions through a variety of structures, including asset and stock deals, acquisition and disposition of divisions, spin‐offs, and buying and selling out of bankruptcy; industrial and student loan bonds, commercial bank financing, ‘33 and ‘34 Act, including initial public offerings, secondary offerings, private placements, going private transactions, and ongoing compliance.
- Extensive general corporate experience, from both outside and in‐house counsel perspective, including corporate governance and contract preparation and review, encompassing licensing, distribution, manufacturing, sales and purchase agreements.
- Global compliance, including anti‐corruption, privacy (CIPP/US, CIPP/E, CIPM certifications); primary responsibility for drafting and implementing global corporate policies.
